Orientation

Introduction & Purpose

MeroShare is the official web and mobile application developed by CDS and Clearing Limited (CDSC), a subsidiary of the Nepal Stock Exchange (NEPSE). It acts as the digital gateway for retail investors in Nepal to apply for Initial Public Offerings (IPOs), Rights Offerings, and Debentures under the Centralized Applications Supported by Blocked Amount (C-ASBA) framework. Furthermore, it allows investors to monitor their Demat portfolio holdings in real time, execute electronic transfer of securities (EDIS) when selling shares on the secondary market, and compute Weighted Average Cost of Capital (WACC).

Chapter 01

Logging In & Initial Setup (DP, Username & PIN)

Access MeroShare via meroshare.cdsc.com.np or the official mobile app. Select your Depository Participant (DP) from the dropdown list (e.g., your commercial bank or broker), enter your username, and your password. On first login, you are required to set a 4-digit numeric transaction PIN and a secret password. This 4-digit PIN is strictly required every time you submit an IPO application or confirm an EDIS share transfer.

CRN is Obtained from Bank, Not MeroShare

Your C-ASBA Registration Number (CRN) must be obtained directly from your bank through mobile banking or branch visit. You cannot apply for IPOs without an active CRN.

Chapter 02

Applying for IPOs via My ASBA (Step-by-Step)

Navigate to the "My ASBA" tab on the left sidebar. Under "Apply for Issue", you will see all active public issues categorized into Ordinary Shares, Debentures, and Mutual Funds. Click "Apply" next to the company. Select your linked bank account, enter the applied quantity (standard minimum is 10 units = NPR 1,000 for standard par value issues), enter your Bank CRN number, check the declaration box, and click Apply. Enter your 4-digit PIN to finalize. Your bank will immediately place a lien/freeze on NPR 1,000 in your account without debiting the money until allotment.

10-Kitta Rule in Nepal

Under SEBON allotment policy, shares are distributed at 10 units per successful applicant via lottery. Applying for more than 10 units in heavily oversubscribed IPOs wastes liquidity.

Chapter 03

Checking Application Status: Unverified vs Verified

Under "Application Report" in My ASBA, check the status column. Within a few hours, your bank will verify that your account has sufficient balance and the status changes from "Unverified" to "Verified". If your status shows "Rejected", verify whether your bank balance was below NPR 1,000 or if an incorrect CRN was submitted.

Always Check Before Issue Closes

If your application stays unverified on the final day, contact your bank branch immediately to prevent disqualification from the lottery.

Chapter 04

Checking Allotment Results & Refund Release

Once the issue manager conducts the formal allotment lottery, results are uploaded to MeroShare, iporesult.cdsc.com.np, and the issue manager’s portal. Under My ASBA -> Application Report -> Action -> View Report, you will see either "Allotted: 10" or "Not Allotted: 0". If allotted, NPR 1,000 is debited from your bank and 10 shares appear in your Demat account within 3 to 7 business days. If unallotted, the blocked funds are automatically unfrozen by your bank within 24 to 48 hours.

Instant Lottery Check

Use iporesult.cdsc.com.np by entering the 16-digit BOID to view allotment results instantly without logging in during peak server load.

Chapter 05

Selling Shares on TMS: My Purchase Source & EDIS

When you sell shares on the secondary market via your broker TMS, you must deliver those shares electronically within T+1 working days. Go to MeroShare -> "My Purchase Source" -> Search for the scrip -> Update and calculate WACC. Then go to "My EDIS" -> "Transfer Shares" -> Select the sold scrip -> Confirm using your 4-digit PIN. Failure to execute EDIS on time results in a mandatory 20% cash closeout penalty charged directly to your broker ledger.

Closeout Fine of 20%

If you fail to transfer shares via EDIS before the clearing deadline, SEBON regulations mandate a 20% fine on the total sale value. Always complete EDIS on the same evening of your sale.

Chapter 06

Annual Demat & MeroShare Online Renewals

Both Demat and MeroShare accounts require annual renewal. Demat costs NPR 100 per fiscal year and MeroShare costs NPR 50 per year. You can renew both online seamlessly via eSewa, Khalti, connectIPS, or IME Pay. If you forget to renew before Ashadh end, your MeroShare account will be temporarily frozen until the fee is paid.

Multi-Year Renewal

You can pay for up to 5 years in advance on eSewa or Khalti to prevent accidental account suspension.
