Introduction & Purpose
Starting and running a formal enterprise in Nepal has historically been viewed as an intimidating bureaucratic labyrinth involving document brokers, municipal queues, and opaque tax compliance. Today, sweeping legislative modernization under the Companies Act 2063 and digital governance reforms at the Office of the Company Registrar (OCR) have streamlined the process significantly. Furthermore, government initiatives have waived statutory registration fees and capital-increase fees for startup private limited companies, making formal incorporation more accessible than ever. However, registering the company is merely Day 1: maintaining statutory corporate compliance across local Ward offices, the Inland Revenue Department (IRD) for VAT and withholding tax (TDS), the Social Security Fund (SSF) under the Labor Act 2074, and annual ROC filings under Chapter 51 is what separates thriving, bankable businesses from heavily penalized operations.
